Karyopharm bankruptcy zeroes out shareholders

· Fact-checked before it aired. Unconfirmed claims from this segment are not shown.

On Nov. 2, 2026, Karyopharm Therapeutics Inc. and its subsidiary KPT Texas LLC filed voluntary Chapter 11 petitions in the U.S. Bankruptcy Court for the Southern District of Texas. The company is pursuing a prepackaged restructuring backed by holders of 100% of its funded debt. Ayrmid Ltd. is the stalking-horse bidder for a proposed merger. The plan calls for existing common stock and convertible preferred stock to be cancelled, with no distribution to holders. A $110 million debtor-in-possession facility includes up to $55 million in new-money term loans, with the rest coming from a roll-up of prepetition debt.

Karyopharm says the Chapter 11 process is intended to maximize value for stakeholders, either through a sale of assets or a reorganization with a plan sponsor. The company has been working with Centerview Partners on strategic options. The prepackaged structure is designed to move quickly: the voting deadline is Nov. 30, 2026, with a confirmation hearing targeted for around Jan. 11, 2027.

What the hosts said

AA biotech just filed Chapter 11, and the paperwork says shareholders get nothing.
BKaryopharm. Ticker KPTI. I saw this one coming.
AGreen Wick Energy posted the filing on X. Court-supervised merger with Ayrmid, up to fifty-five million in financing.
BThat's the polite version. The ugly version: existing common and preferred stock get cancelled. No distribution.
BSo after all the dilutions and reverse splits... equity is a memory.
ALet's add the details. Prepackaged Chapter 11 in Texas. All the funded debt holders signed on.
BPrepackaged means lenders agreed before walking into court. Retail investors were not in that room.
ANo. They were outside reading press releases.
BAnd that's my problem. Management gets a debtor-in-possession facility to keep operating.
AI was going to correct that. The post says up to fifty-five million. The filing says one hundred ten million facility, including up to fifty-five in new money. The rest is rolled-up debt.
BFine. Company keeps burning cash while the people who funded the science get wiped out.
AThe alternative is liquidation—sell assets for scrap, everyone fired. This keeps the business going.
BOh, come on. Ayrmid is the stalking horse. They probably get the assets for pennies.
AThat's how bankruptcy auctions work when there are no better bids. If the assets were worth more, someone would bid more.
BThen call it what it is: a fire sale with extra steps.
AYou'd rather they just turn off the lights?
BI'd rather biotech companies stop spending like capital will always be there. Karyopharm burned cash for years.
AThat's a fair point. But Chapter 11 is the cleanup, not the cause.
BIt's a cleanup that tells small shareholders their claim is worthless. And they're not wrong, but they should've been told earlier.
AThey had quarterly filings, Bill. The risk was right there.
BNobody reads the proxy until it says cancelled.
AThen maybe the lesson is: read the proxy.
BEasy for you to say. You're not sitting on a ninety percent loss hoping for a miracle.
ANo, I'm not. But hoping isn't a strategy.
BAnd I'm not telling anyone what to do. I'm saying the structure was stacked.
AStacked? The company was insolvent. Equity is last in line.
BI know the waterfall. I'm talking about timing. Management could've raised cash earlier on better terms.
ACould have, should have. We can't rerun the last five years.
BFine. The process is legal. I just don't like the optics.
ANoted. And the company says it plans to keep operating.
BWhich means employees keep jobs. I'll give them that.
AThe voting deadline is November thirtieth. Confirmation hearing targeted around January eleventh.
BSo it moves fast. That's the one good part.
AThen let's move to the other end of the scale.
BSpeaking of Chapter 11, here's a small one.
AWhat do you got?
BAna Properties. RK Consultants posted the filing on X. A small Massachusetts landlord.
AAssets and liabilities both between one and ten million. One to forty-nine creditors.
BThe point isn't the size. It's that bankruptcies are showing up at both ends—big biotech and small landlords.
ADon't read too much into two filings on one day.
BMaybe not. But higher rates squeeze the small guys first.
AThat's a real trend. But this filing could be one bad property.
BFair. We won't build a recession call on one LLC.
ATomorrow, we find out if the distressed names get any bids.
BI'll bring the popcorn.
